1. About
GreenGoal Hub is a Rwanda-based enterprise dedicated to advancing sustainable land restoration through the production and distribution of high-quality tree and fruit seedlings. The organization works closely with smallholder farmers, corporate partners, and restoration initiatives to expand agroforestry adoption and promote biodiversity. As part of its ongoing institutional strengthening and growth, GreenGoal is seeking to engage a qualified Legal firm to provide legal advisory support for an upcoming equity investment.
2. Objective of the Assignment
The objective is to engage a legal firm to support GreenGoal Hub in ensuring full compliance with Rwanda’s legal and regulatory framework. This includes providing professional legal services to guide the company’s operations, ensuring that all aspects of the equity investment align with Rwandan law, reviewing and localizing key transaction documents, and offering strategic legal advice to the company’s leadership throughout the investment process.
3. Scope of Work
The Legal firm will be responsible for:
Legal Advisory and Compliance
- Advising GreenGoal’s founders and leadership on their rights and obligations under the transaction.
- Ensure ongoing compliance with Rwandan laws related to RRA, RDB, RSSB, , etc.).
- Provide legal opinions on issues related to contracts, partnerships, labor law, and intellectual property.
- Supporting the alignment of the company’s legal and corporate structure with the investment terms.
- Liaising with Investor’s transaction firm to ensure smooth legal coordination.
Contracts and Documents Review
- Reviewing the Investment Agreement, Subscription Agreement, Shareholders’ Agreement, and Articles of Association to ensure they comply with Rwandan corporate law.
- Draft, review, and negotiate contracts, MoUs, leases, agreements for donors and consultants.
- Ensure all legal documents are in line with Rwandan laws and international best practices.
Employment and Labor Law
- Advise on employment contracts, termination procedures, HR policies, and staff handbooks.
- Represent and advise GreenGoal on legal affairs and in labor disputes or audits.
4. Deliverables
- Legal review memos and comments on investment documents.
- A legal opinion or advisory note confirming compliance with Rwandan law.
- Assistance with updates to Articles of Association and regulatory filings.
- Final written summary of legal input and recommendations.
5. Qualifications
- Licensed to practice law in Rwanda.
- A minimum of 5 years of experience in corporate law, especially equity or venture transactions.
- Prior experience supporting SMEs, startups, or international transactions.
- Strong legal drafting, review, and communication skills in English and French
- Ability to coordinate with international firms and investors.
6. Duration of the Contract
The contract will be open-ended, beginning with a six-month probation period. Renewal will be contingent upon satisfactory performance and the organization's needs. GreenGoal Hub reserves the right to terminate the agreement with prior notice, as stipulated in the contract.
7. Proposal Submission
Interested firms or individuals should submit:
- A technical proposal (maximum 2 pages) outlining relevant experience, understanding of the assignment, and proposed approach.
- Firm profile and 2 CVs of lead lawyers (max 2 pages for each CV)
- Legal practicing license
- A financial proposal highlighting your proposed fee structure (hourly, daily, monthly).
- Two references for similar assignments.
